Notice of Proposed Amendment to Visit Pensacola Bylaws
Visit Pensacola has been asked by the Office of Management and Budget (OMB) of Escambia County to update its dissolution language referenced in Article XX of the Visit Pensacola Bylaws.
Currently, Article XX Dissolution, is written that in the event of the dissolution of Visit Pensacola, all public TDT liquid assets would be distributed exclusively to the Escambia County Tourist Development Council (TDC). The TDC is not structured to receive funds, so the bylaw language needs to be amended to distribute the TDT liquid assets, physical assets and intellectual property exclusively to the Escambia County Board of Directors.
Private funds raised from such sources as Tourism Partner dues shall be returned pro rata to each Tourism Partner for the current fiscal year. Private funds held in reserve shall be distributed to tourism-related non-profit or educational organizations in accordance to a plan of distribution adopted by the Board of Directors.
The Board of Directors has reviewed this change and is recommending this amendment to the bylaws. Per the Visit Pensacola Bylaws, Tourism Partners (members) are to be provided with a ten (10) day comment period prior to the Board Meeting where the amendment is on the agenda for a Board vote.
